Run Nation Championship $54,321 USD Competition — Conditions of Entry

Section 1

Promoter

The Run Nation Championship $54,321 USD Competition (Promotion) is conducted by PRX Enterprises Pty Ltd ACN 682 267 769 of Level 2, 5 Davidson Terrace, Joondalup, WA 6027, Australia (Promoter).

By entering the Promotion, entrants agree to be bound by these Terms and Conditions. Information on prizes and how to enter forms part of these Terms and Conditions.

The Promotion commences at 12.00 pm AEST on 6 May 2026 and closes at 12.00 pm AEST on 17 May 2026 (Promotion Period).

Section 2

Eligibility

Eligible Entrants

Entry is open to natural persons who, at the time of entry, satisfy all of the following:

  • are at least 18 years of age, or the age of majority in their jurisdiction;
  • have legal capacity to enter into a binding contract in their jurisdiction; and
  • are not an Ineligible Person as defined in clause 2.3.

Excluded Jurisdictions

The Promotion is NOT open to residents of jurisdictions where the conduct of the Promotion would be unlawful, require registration or bonding not obtained by the Promoter, or where participation would violate local law. This includes, without limitation:

  • Any country subject to applicable sanctions (including OFAC, UN, EU, Australian DFAT sanctions lists);
  • Jurisdictions where trade promotions or prize draws of this nature are prohibited or require regulatory approval not obtained; and

Ineligible Persons

The following persons are ineligible to enter:

  • Employees, officers, directors, contractors and agents of the Promoter or any of its related entities;
  • Immediate family members (spouse, parent, child, sibling, and their respective spouses) of any of the above;
  • Any person involved in the conduct, management or promotion of this Promotion; and
  • Any person determined by the Promoter to be in breach of these Terms and Conditions.

Verification

The Promoter reserves the right to verify the eligibility of entrants at any time and may require proof of age, identity and place of residence. Any entry found not to comply with these Terms and Conditions may be disqualified at the Promoter's absolute discretion.

Section 3

Nature of Promotion

This Promotion is a trade promotion lottery and a game of chance. Skill plays no part in determining the winner. The Promoter makes no representation that this Promotion constitutes a lawful activity in any particular jurisdiction outside of those listed in Schedule A as eligible.

Section 4

How to Enter

Point of Sale Limits

During the entire Promotion Period, entrants may receive one (1) entry by:

  • accessing the official PRX Promotion entry page via the URL made available by the Promoter — http://www.prxault.com/run-nation-championship; and
  • completing all required entry fields in full, including country of residence.

No purchase, payment, subscription, event attendance, livestream viewing or engagement with promotional content is required to enter via the Free Entry Method.

The Free Entry Method is and will remain open, accessible and available on equal terms for the entire Promotion Period.

Bonus Entry Method

From 10 May 2026 until the end of the Promotion Period (Bonus Entry Period), entrants who make a Qualifying Transaction will receive two (2) entries per qualifying transaction.

The Bonus Entry Method:

  • is optional;
  • operates in addition to, and not instead of, the Free Entry Method; and
  • does not restrict, limit or disadvantage access to the Free Entry Method.

Qualifying Transaction means each purchase through the PRX Vault Cashback program from any merchant.

Entry Conditions and Fairness

Each valid entry, whether obtained via the Free Entry Method or the Bonus Entry Method, has an equal chance of being selected in the draw.

The allocation of additional entries under the Bonus Entry Method does not guarantee winning and does not alter the random nature of the draw.

The Promoter will not directly or indirectly represent that making a purchase is necessary to participate in or win the Promotion.

Entry Limits

There is no limit on the number of times an individual may enter during the Promotion Period, subject to compliance with these Terms and Conditions. Automated, bulk or third-party entries are prohibited and will be void.

Section 5

Prize

Prize Details

There is one (1) prize: cash prize, with a total recommended retail price of approximately USD $54,321 USD (Prize).

Where local law requires disclosure of prize value in a local currency, the approximate local currency value will be calculated using the exchange rate published by the relevant central bank on the first day of the Promotion Period and disclosed on the entry page.

Prize Conditions

The prize is subject to the following conditions:

  • The prize is not transferable, exchangeable or redeemable for cash;
  • The Promoter reserves the right, in its discretion, to substitute the prize or part of it for an alternative of equal value and/or comparable specification if the original prize becomes unavailable;
  • All ancillary costs associated with claiming and using the prize (including but not limited to taxes, duties, customs fees, shipping, and any other costs not expressly stated as included) are the responsibility of the winner; and
  • The Promoter is not liable for any part of the prize that is lost or stolen after being awarded to the winner.

Taxes and Duties

The winner is solely responsible for all applicable taxes, duties, levies and other government charges arising from receipt or use of the prize in their jurisdiction. The Promoter makes no representation regarding the tax treatment of the prize in any jurisdiction. Winners are encouraged to seek independent tax advice.

Section 6

Draw Details

The winner will be determined by a random draw conducted electronically using a random number generator. The draw will take place at 7:00 pm AEST on 17 May 2026 via an electronic draw platform. All eligible entries received during the Promotion Period will be included in the draw. Presence at the draw is not required.

The draw is conducted under the supervision of the Promoter's nominated representative. An independent scrutineer may be appointed where required by local law.

Section 7

Winner Notification

The winner will be notified within 2 business days of the draw by email and/or SMS using the contact details provided on entry.

The Promoter will take all reasonable steps to contact the winner. If the winner does not respond or claim the prize within 30 days of notification, the prize may be deemed unclaimed and dealt with in accordance with clause 8.

The last name, initial of first name and country of residence of the winner will be published on the Promoter's website, unless the winner objects or applicable local law prohibits such publication.

Section 8

Unclaimed Prizes

If the prize remains unclaimed after 3 months from the date of the original draw (or such longer period as required by applicable law), the Promoter may conduct an unclaimed prize draw using the same draw process as the original draw, subject to any applicable regulatory requirements.

Section 9

Prize Delivery

The prize will be delivered to the winner within 21 days of the prize being notified and claimed, by way of electronic transfer, subject to identity and compliance checks.

International shipping and applicable customs duties, tariffs or import taxes are the sole responsibility of the winner unless expressly stated otherwise. The Promoter will not be liable for any delays caused by customs authorities, courier services or other third parties.

Section 10

Publicity

As a condition of accepting the prize, the winner agrees to participate in reasonable publicity activities as requested by the Promoter, including use of their name and likeness, without further remuneration, subject to applicable law.

Section 11

Sanctions and Export Controls

By entering, each entrant warrants that they are not: (a) located in, ordinarily resident in, or a national or government of any country subject to comprehensive trade sanctions; (b) listed on any applicable sanctions list maintained by Australia (DFAT), the United States (OFAC), the European Union, the United Kingdom, or the United Nations; or (c) owned or controlled by any such sanctioned person or entity.

The Promoter reserves the right to void any entry and withhold any prize where it reasonably believes that awarding the prize would violate applicable sanctions laws or export control regulations.

Section 12

Limitation of Liability

To the maximum extent permitted by applicable law in each relevant jurisdiction, the Promoter, its related companies, and their respective officers, employees, contractors and agents exclude:

  • any representation or warranty as to the quality, suitability or merchantability of the prize;
  • any liability for direct, indirect, special or consequential loss (including loss of profits, revenue, data or opportunity) arising in connection with this Promotion; and
  • any liability arising from technical difficulties, equipment malfunction, late, lost or misdirected entries, variation in prize value, tax liability of a participant, or use of the prize.

Nothing in these Terms and Conditions limits, excludes or modifies any statutory consumer guarantees or non-excludable implied warranties under applicable law, including but not limited to the Australian Consumer Law, the UK Consumer Rights Act 2015, EU consumer protection directives, or any equivalent consumer protection legislation in any Eligible Country.

Section 13

General

The Promoter's decisions in relation to the Promotion are final and binding, to the extent permitted by applicable law, except in the case of manifest error or fraud.

Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.

If any provision of these Terms and Conditions is held to be invalid, illegal or unenforceable in any jurisdiction, that provision shall be severed to the extent necessary, and the remaining provisions shall continue in full force and effect.

If the Promotion is interfered with or not capable of being conducted as anticipated for any reason beyond the Promoter's reasonable control, the Promoter reserves the right, to the fullest extent permitted by applicable law, to disqualify any entrant, or to cancel, terminate, modify or suspend the Promotion.

A prize recipient accepts the prize 'as is' and acknowledges that the Promoter accepts no responsibility for any tax implications that may arise from accepting the prize.

Section 14

Privacy and Data Protection

The Promoter collects personal information for the purpose of conducting the Promotion, verifying eligibility, awarding prizes and complying with legal obligations.

Personal information collected from entrants will be handled in accordance with:

  • the Promoter's Privacy Policy available at [insert URL];
  • the Australian Privacy Act 1988 (Cth) and Australian Privacy Principles;
  • the EU General Data Protection Regulation (GDPR) (Regulation 2016/679) and UK GDPR, where applicable;
  • the California Consumer Privacy Act (CCPA), where applicable;
  • Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), where applicable; and
  • all other applicable data protection and privacy laws in the Eligible Countries

Entrants from the European Economic Area, United Kingdom and Switzerland have the right to access, correct, delete, restrict processing of, or object to processing of their personal data, and the right to data portability. To exercise these rights, contact the Promoter at [insert data protection contact / DPO details].

Personal information will not be transferred to third parties except as required to conduct the Promotion (e.g. draw administrators, prize fulfilment providers) or as required by law. Any international transfers of personal data will be conducted in accordance with applicable data transfer requirements (e.g. Standard Contractual Clauses for EU data).

Section 15

Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Queensland, Australia, to the extent permitted by applicable law in each entrant's jurisdiction.

For entrants in jurisdictions where mandatory consumer protection laws require disputes to be resolved under local law, those mandatory provisions will apply to the extent they are inconsistent with this clause.

The Promoter and entrants will endeavour to resolve any disputes arising in connection with the Promotion through good faith negotiation before commencing formal proceedings.
